You'll find that grim reaper guy in the Stormdrain Tower, the tower located in Haunted Cave. If you had the quest for when the storm miller guy gave you the job to make scarecrows, at the end he'll ask you to collect some branches. Nightshade is in the tower that is near the branches you collect for the quest. You cannot go there if you are not ready yet. You will need a membership and complete Firecat Alley and Cyclopes Lane, then the Headmaster will summon you to fight Nightshade.
