It's being developed by Beachhead, the new studio Activision announced it had formed earlier this year (although Elite has apparently been in development for two years). Elite isn't a game. The COD Elite gives you a huge data profile about your online stats, matches etc. If you do not have xbox live, there are no stats to gather.
