Go to the 5th floor of Silph Co. Then go down to the left bottom side where you see the Team Rocket Member(TRM) standing next to a portal. Go into the portal then on the other side of the portal go back into it. Walk into the narrow passageway and defeat the TRM. Walk down the narrow passageway and pick up the "Card Key". Then go back the way you came and head down 2 floors to the 3rd floor. Walk 5 steps down then turn left and walk 6 steps left then turn down and walk 5 steps down and turn to the left. Press "A" and you will open the door with the card key. Go into the first portal you see. Save the game in preparation of a battle with your rival. Defeat your rival and then go into the portal. You will now have to defeat two TMRs (can't remember exact number) then you have to defeat Giovanni. Hope that helped you out.
