A special resolution is a decision passed by a company’s shareholders or members that requires a higher approval threshold than ordinary resolutions. Typically, it requires at least 75% of the votes in favor. Special resolutions are usually necessary for significant changes in the company's structure or operations, such as altering the company's articles of association, changing its name, or approving mergers or dissolutions. Special resolutions must comply with specific legal procedures, including advance notice of the proposed resolution to all shareholders.
