Thorin dies from many wounds from the goblins. He fought bravely and Kili and Fili fell by his side. Beorn carried him to safety after he fell. He lingered long enough to forgive Bilbo and restore his share of the treasure. He was buried under the mountain with the Arkenstone.
He is wounded in The Battle of Five Armies, and passes away shortly after. Rather peacefully, I might add.

Thorin is killed while commanding the allied armies of Men, Dwarves and Elves during the Battle of Five Armies. It isn't said how exactly he died, only that he was mortally wounded, along with Kili and Fili, who were guarding him.
