I've included a couple of links. Oil shale is a misnomer, as the hydrocarbon in the shale is distinctly different than crude oil. It should be called "kerogen in a shale formation." The kerogen is a hydrocarbon which has not had enough time or the right conditions to mature to oil. So, your question is really, where does shale come from, and where does the kerogen come from. Per the related link: "Oil shale was formed millions of years ago by deposition of silt and organic debris on lake beds and sea bottoms. Over long periods of time, heat and pressure transformed the materials into oil shale in a process similar to the process that forms oil; however, the heat and pressure were not as great." Silt and clays over time form shales. The organic material forms kerogen.
