Most people are replaceing both o2 sensors and getting the computer flashed. The code is set when the computer sees the engine is to rich or lean. The o2s tell the computer that. so it could be an engine problem or the o2s Get it checked by a profesional.
Downstream O2s are on the outlet side of the catalytic converter(s).

Use a 7/8" O2S wrench, socket, or crow's foot to unscrew the sensor, then put a new one in.

1-Start the engine. 2-Use the accellerator pedal to keep the engine running at about 1800 to 2000 RPM for about 2 minutes. 3-Turn the ignition key to the off position. 4-Unplug the connector. 5-Unscrew the sensor using a 7/8 inch O2S socket or O2S wrench (has 6 sides) 6-Install new sensor.
On a 1996 Grand Marquis there are 4 oxygen sensors. 2 (1 on each bank) are mounted before the front catalysts near the manifold-->cat-pipe flange. These are the HEGOS or Heated Exhaust Gas Oxygen Sensor. These are the primary o2s and are what help the PCM determine the correct A/F ratio. There are another 2 directly after the fisrt set (1 on each bank) of catalysts moutned on the exhaust piping between the two catalysts on each bank. The primary goal of these is to monitor the catalysts' effieceincy. In summary: 4 o2 sensors in all 2 are the upstream/HEGOS o2s 2 the downstream o2s 4 cat-convertors in all
