Most professionals prefer Nikon because of it's compatibility, lenses, speedlights, and software available, but Canon also has great cameras.
Both cameras are pretty old now. I recommend the Canon 7D or 60D. or if you want Nikon, the D7000, D90, or D300s.
Yes, it will fit. However, you will still need to see if the lens you have has or does not have features like autofocus or CPU connectors that will carry all the info that your camera needs... If it is a Nikon Lens it will work fine. So will others like Sigma, Tamron and Tokina. Carl Zeiss may not give you all the functions but will work in manual mode.

D300s used to be higher end at its release but now D7000 offers superior image quality, ergonomics and faster handling in a lighter and robust package. D300s is a bit tougher built and heavier.
