The exact difference depends on the weather threat in question, whether it is a hurricane, a tornado, or a flood.

However, generally speaking, a watch is issued if a given hazard is possible in a given area. A warning is issued if that threat is imminent.

A Watch is when someone tells you that the storm just has a little caution just to keep and eye out. And a warning is when someone tells you that this storm has a strong possibility of happening and so you need to take action.
A watch means conditions are right for a severe weather condition, a warning means that the condition has been observed in the affected area, it is more serious than a watch.
